Athena™ Legal Check Up Subscription Terms of Service

Effective December 6, 2022

 

Please read these Terms of Service (“Terms”) carefully and before purchasing the Athena Legal Solutions LLC’s Legal Check Up Subscription (“Check Up”). By purchasing the Check Up, you agree that you have read, understood, and consented to these Terms.

 

These Terms are between Athena Legal Solutions LLC (“Athena”), a law firm licensed in the State of Wisconsin and you. If you have questions about these Terms, please contact info@athenalegalsolutionsllc.com.

 

1.    Attorney-Client Relationship. By purchasing the Check Up and paying the fee, you have formed an attorney-client relationship with Athena. After completion of the Check Up, the attorney-client relationship will end unless you sign an engagement agreement for Athena to provide you additional legal services.

 

2.    Eligibility. To be eligible to participate in the Check Up, you must be at least 18 years old and own or co-own a business or nonprofit. If a conflict of interest exists with one of Athena’s current clients (as solely determined by Athena), you may not receive the Check Up and your purchase price will be refunded. Athena may reject anyone from the Check Up for any reason or no reason.

 

3.    Check Up Description. As the recipient of the Check Up, you will receive limited representation. The Check Up includes the following one-time each quarter for twelve months (January, April, July, and October):

  • A legal review of:

    • your top three business goals for the next quarter,

    • your current agreements with your customers that you provide to Athena,

    • your current employee policies or agreements that are provided to Athena,

    • your current independent contractor agreements and policies that are provided Athena,

    • your website and any social media links that are provided to Athena,

  • A written report highlighting areas of legal risk and opportunity prioritized based on your goals, and

  • A half hour meeting with an Athena attorney to review your written report.

 

4.    No Guarantee. Athena provides no guarantee as to results of any action or action taken on your behalf. All legal advice is provided strictly in an advisory capacity.

 

5.    Confidentiality. Athena Legal Solutions LLC will keep your information confidential and only communicate with you in connection with the Check Up, unless you provide express written permission instructing otherwise.

 

6.    Technology. Athena uses various software and cloud-based programs (e.g., Microsoft Office and Clio). You understand that use of this technology involves inherent risks, including disclosure of confidential communications and/or your personal information. If you want more information about the technology Athena use, please ask or review the Privacy Policy on our website.

 

7.    Check Up Fee and Refunds. You will be charged automatically upon purchase for your Legal Check Up and each month for the remainder of your subscription. All fees are deemed earned upon receipt. You agree that once received, fees will be deposited into Athena’s general business account. No refunds will be offered except in the case of a conflict of interest as noted in Section 2.

 

8.    Wisconsin Attorneys. Athena’s attorneys are licensed to practice law in Wisconsin. Although anyone can receive the Check Up, it works best for people in the State of Wisconsin, where Athena is headquartered and licensed to practice law. For members in other states, Athena will only be able to provide legal advice regarding copyrights, trademarks and other issues involving federal law.

 

9.    File Retention and Destruction. Athena will retain your file for seven (7) years and may, at its option, store your file only in an electronic format. After seven (7) years, your file will be destroyed in a manner that preserves the confidentiality of your information.

 

10.    Dispute Resolution and Jurisdiction. If a dispute arises relating to any aspect of these Terms between you and Athena and if the dispute cannot be settled through negotiation, you agree to discuss in good faith the use of mediation before resorting to arbitration, litigation, or any other dispute resolution procedure. The Terms are governed by, and must be interpreted under, Wisconsin law, and any court proceedings relating to the Terms must be instituted in Dane County.

11.    Entire Agreement. These Terms are your entire agreement with Athena concerning the Check Up. If any provision of these Terms is found to be invalid or unenforceable, it shall be removed from the Terms without affecting the remaining provisions. Athena may modify these Terms at any time and will notify you by email.

Athena™ One-Time Legal Check Up Terms of Service

Athena™ Attorney On Call Terms of Service

Effective November 26, 2021

Please read these Terms of Service (“Terms”) carefully and before purchasing the Athena Legal Solutions LLC’s Attorney On Call Subscription Program (“Program”). By purchasing the Program, Subscriber agree that Subscriber have read, understood, and consented to these Terms.

 

These Terms of Service (the “Terms”) are between Athena Legal Solutions LLC (“Athena”), a law practice licensed in the State of Wisconsin and you (“Subscriber”). Subscriber agreement to these Terms and the Privacy Policy is necessary if Subscriber wish to participate in the Program.

 

1.    Acceptance of These Terms.  By being a member of the Program, Subscriber accept the Terms. If Subscriber does not accept the Terms, Subscriber must cancel their membership in the Program.

 

2.    Changes to These Terms.  From time to time, Athena may modify these Terms. If such a modification is made, Athena will notify Subscriber by email. Any changes to these Terms will only apply after the date of any such change.

 

3.    Attorney-Client Relationship. By joining the Program, Subscriber will have an attorney-client relationship with Athena. An attorney-client relationship will not be formed until Subscriber has completed the application form and made payment. If Subscriber terminates membership of the Program, the attorney-client relationship will end unless Subscriber has engaged Athena under a separate engagement agreement.

 

4.    Confidentiality. Athena has an ethical obligation to keep Subscriber’s information confidential. Unless Subscriber gives express, written permission, Subscriber’s attorney will only communicate with Subscriber directly about legal matters.

 

5.    Eligibility. To be eligible for the Program, Subscriber must be at least 18 years of age and own or co-own a business or nonprofit. Athena has the right to reject anyone for any reason, or for no reason at all. If Subscriber has a conflict of interest with a current Athena client (as solely determined by Athena) upon joining the Program, Subscriber will not be able to join the Program and any subscription fees paid will be refunded.

 

6.    Program Terms and Conditions. As a member of the Program Subscriber will receive limited scope representation:

 

  • Unlimited attorney phone calls: Subscriber get unlimited phone calls with an attorney on new legal matters. The determination of what qualifies as a new legal matter shall be solely at the discretion of the attorney. If additional consultation is needed on the same legal matter, that consultation will be billed hourly at Athena’s prevailing rate. Phone calls must be scheduled at least twenty-four (24) hours in advance using the scheduling software available in the Members Only section of Athena’s website and is subject to Athena’s attorneys’ availability. Subscriber may update Subscriber contact information, including email address and phone number, by emailing info@athenalegalsolutionsllc.com.

 

  • Unlimited attorney emails: Subscriber get unlimited email exchanges equal to 15 minutes of attorney time on new legal matters. Athena may choose to respond to Subscriber emails by scheduling a phone call or by email, at the attorney’s option. The determination of what qualifies as a new legal matter shall be solely at the discretion of the attorney. If additional consultation is needed on the same legal matter, that consultation will be billed hourly at Athena’s prevailing rate. Phone calls must be scheduled at least twenty-four (24) hours in advance.

 

  • Quarterly Legal Check Up: Subscriber will receive a quarterly legal check up ("Check Up") beginning in the third month of your participation in the Program. Subscriber must use the scheduling software available in the Members Only section of Athena’s website to schedule the Check Up. The Check Up includes the following:

    • A legal review of:

      • Subscriber top three business goals for the next 3 months,

      • Subscriber current agreements with Subscriber customers that Subscriber provide to Athena,

      • Subscriber current employee policies or agreements that are provided to Athena,

      • Subscriber current independent contractor agreements and policies that are provided Athena,

      • Subscriber website and any social media links that are provided to Athena,

    • A written report highlighting areas of legal risk and opportunity prioritized based on Subscriber goals, and

    • A half hour meeting with an Athena attorney to review Subscriber written report.

    • If additional work is needed outside of the scope of the Check Up to the document shall be billed hourly at Athena’s prevailing rate.

  • Access to Legal Education Content: Subscriber will have access to legal education content in a member’s only section of the Athena website (www.athenalegalsolutionsllc.com).

 

7.    No Litigation. Athena, nor any attorneys affiliated with Athena, agree to represent Subscriber in any case, proceeding, arbitration, mediation, or similar legal matter. If such legal action becomes necessary, Athena will work with Subscriber to recommend appropriate counsel.

 

8.    No Guarantee.  Athena provides no guarantee as to results of any action or action taken on Subscriber’s behalf. All legal advice is provided strictly in an advisory capacity.

 

9.    Program Fee. Subscriber will be charged automatically upon purchase for the Program. All fees are deemed earned upon receipt. Subscriber agrees that once received, fees will be deposited into Athena’s general business account. Subscriber will be charged automatically monthly on the anniversary date of Subscriber purchase until Subscriber cancels.

 

10.    Refund and Cancellation. Subscriber will only receive a refund if Athena is determined to have a conflict of interest with Subscriber making Subscriber ineligible for the Program as noted in Section 5. Subscriber is free to cancel at any time. To cancel, Subscriber must email info@athenalegalsolutionsllc.com and Athena will cancel Subscriber’s membership.

 

11.    Wisconsin Attorneys. Athena’s attorneys are licensed to practice law in Wisconsin. Although anyone can join the Program, it works best for people in the State of Wisconsin, where Athena is headquartered and licensed to practice law. For members in other states, Athena will only be able to provide legal advice regarding copyrights, trademarks and other issues involving federal law.

 

12.    Additional Services and Expenses.  Additional services shall be rendered to Subscriber at Athena’s prevailing rates. Subscriber agrees to pay for any agreed-upon services when invoiced. Subscriber also agrees to pay for any agreed-upon expenses or fees incurred on Subscriber’s behalf.

 

13.    Termination. Subscriber may cancel Subscriber account for any reason, at any time. Refunds are given solely at Athena’s discretion. Athena also has the right to terminate Subscriber’s account at any time, for any reason. If payment cannot be processed, Athena retains the right to immediately terminate.

 

14.    Entire Agreement. These Terms are the only agreement relating to Subscriber’s membership in The Program. If Subscriber engages Athena for legal services beyond those provided in the Program, those services will be governed by a separate engagement letter.

 

15.    Severability. If any provision of these Terms is found to be invalid or unenforceable, it shall be removed from the Terms without affecting the remaining provisions.

 

16.    Dispute Resolution and Jurisdiction. If a dispute arises relating to any aspect of these Terms between Subscriber and Athena and if the dispute cannot be settled through negotiation, Subscriber agree to discuss in good faith the use of mediation before resorting to arbitration, litigation, or any other dispute resolution procedure. The Terms are governed by, and must be interpreted under, Wisconsin law, and any court proceedings relating to the Terms must be instituted in Dane County.

Athena™ Graduate Protection Plans Terms of Service

Please read these Terms of Service (“Terms”) carefully before purchasing one of Athena Legal Solutions LLC’s Graduate Protection Programs (“Program”). By purchasing the Program, you agree that you have read, understood, and consented to these Terms.

 

These Terms are between Athena Legal Solutions LLC (“Athena”), a law firm licensed in the State of Wisconsin and you. If you have questions about these Terms, please contact info@athenalegalsolutionsllc.com.

 

1.   Attorney-Client Relationship. By purchasing the Program and paying the fee, you have formed an attorney-client relationship with Athena. After completion of the Program, the attorney-client relationship will end unless you sign an engagement agreement for Athena to provide you with additional legal services.

 

2.   Eligibility. To be eligible to participate in the Program, you must be at least 18 years old. If a conflict of interest exists with one of Athena Legal Solutions LLC’s current clients, you may not receive the Program and your purchase price will be refunded. Athena may reject anyone from the Program for any reason or no reason.

 

3.   Program Descriptions. As the recipient of one of the Programs, you will receive limited representation. The representation will vary based on the Program you selected. The information below outlines what is included in each of the Programs:

  • DIY Powers of Attorney, which includes:

    • Attorney-drafted health care and financial powers of attorney,

    • A half hour consultation with your Athena attorney, and

    • Instructions for how to fully execute your powers of attorney.

  • Full-Service Powers of Attorney, which includes:

    • Attorney-drafted health care and financial powers of attorney,

    • A half hour consultation with your Athena attorney in person, and

    • Notarization of your powers of attorney by your Athena attorney in your home.

  • Beneficiary Package, which includes:

    • Ongoing consultations with your Athena attorney to determine your needs and educate you on your package,

    • Attorney-drafted health care and financial powers of attorney,

    • Attorney-drafted last will and testament,

    • Transfer on Death Deed, if needed, and

    • An in-person meeting with your Athena attorney to review, execute, witness, and notarize your legal documents.

 

4.   No Guarantee. Athena provides no guarantee as to the results of any action or action taken on your behalf. All legal advice is provided strictly in an advisory capacity.

 

5.   Confidentiality. Athena Legal Solutions LLC will keep your information confidential and only communicate with you in connection with the Program unless you provide express written permission instructing otherwise.

  • DIY Powers of Attorney - $425

  • Full-Service Powers of Attorney - $750, half is due upfront and the other half when you receive your fully executed documents.

  • Beneficiary Package - $1100, half is due upfront and the other half when you receive your fully executed documents.

 

8. DISCLOSURE

 

​       a. To Athena

 

        Estate planning is an important and highly personal matter.  To be successful, estate planning requires that you          disclose information to Athena about family relationships and financial affairs that you will most likely regard as highly confidential.  Estate planning may also require you to make some difficult decisions.  You agree to provide Athena with all factual information and materials necessary to perform Athena’s services, and that you will be responsible for making decisions and determinations on matters not involving legal determinations as necessary for your estate planning.  Athena urges you to make a complete disclosure of your financial matters and intentions concerning the disposition of your estate, because a failure to do so could make it impossible for Athena to give proper advice to you.  Athena cannot be responsible for undesired consequences caused by your failure to disclose information to Athena.

 

       b. To Named Agents

 

       You authorize Athena to disclose information related to your estate planning documents to Agents, Successor Trustees, and Personal Representatives named in said documents. Unless you instruct Athena otherwise, Athena may provide copies of said documents to named agents should it be requested.

           

9.   Wisconsin Attorneys. Athena’s attorneys are licensed to practice law in Wisconsin. Although anyone can join the Program, it works best for people in the State of Wisconsin, where Athena is headquartered and licensed to practice law. For members in other states, Athena will only be able to provide legal advice regarding copyrights, trademarks and other issues involving federal law.
